Ultimate authority of the EFC vests in the EFC Annual General Assembly (AGA) of Members, with governance entrusted to an elected Governing Council, supported by a Management Committee.

Governing Council and Management Committee
The mandate of the Governing Council is to guide the programmatic and strategic work of the EFC. The Governing Council consists of up to thirty (30) member organisations (minimum 14 organisations), which are elected amongst EFC voting members.
The Management Committee focuses on the day-to-day operational management of the EFC, and it consists of a group of individuals representing members of the Governing Council, including the Chair, the Vice-Chair, and the Treasurer of the Association and additional individuals representing members of the Governing Council. Only Members of the Governing Council, which have served at least one year on the Governing Council may be represented on the Management Committee.

The EFC members are invited to vote for candidates for the EFC Governing Council.
Guidelines on EFC Governing Council renewal procedure
The Nomination Committee has the mandate to monitor the composition of the Governing Council and Management Committee. The Nomination Committee aims to ensure a balance of gender of representatives, geographic regions as well as the size and type of organisations that are represented in EFC governing bodies. The Nomination Committee will also take involvement within the EFC as well as the endorsement of potential candidates from colleagues into account.

The EFC Audit Committee will monitor and assess the financial situation of the EFC. Specific responsibilities of the Committee include:
- Propose and follow up the performance of the EFC’s independent external auditors, especially regarding their due diligence
- Verify the validity and accuracy of the EFC’s financial reporting
- Work closely with the Management Committee to prepare an opinion on EFC finances and audit at the spring Governing Council meeting and the Annual General Assembly (AGA) of Members
